Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BrightNewsletter service and related features (the "Service") provided by BrightTools LLC ("BrightTools," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms.


1. Eligibility

You must be at least 18 years old to use the Service and must have the authority to bind the organization you represent. By using the Service, you represent and warrant that you meet these requirements.


2. Account Registration and Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring that your use complies with applicable laws

You must promptly notify us of any unauthorized use.


3. Subscription Plans and Billing

3.1 Subscription Terms

The Service is offered on a subscription basis. Subscription terms may be monthly or annual, as selected at purchase.

3.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing term unless canceled before the renewal date. By subscribing, you authorize us to charge the applicable subscription fees at each renewal.

3.3 Upgrades and Downgrades

  • Upgrades take effect immediately, and you will be charged the prorated difference for the remainder of the billing period.
  • Downgrades take effect at the end of the current billing period.

3.4 Free Trials

We may offer free trials at our discretion. If you begin a free trial:

  • You may cancel at any time before the trial ends.
  • If you do not cancel before the trial expires, your selected paid subscription will automatically begin, and you authorize us to charge the applicable fees.

We reserve the right to modify or terminate trial offers at any time.

3.5 Price Changes

We may modify subscription fees at any time. Any price changes will take effect at the start of your next renewal term. We will provide reasonable advance notice of any pricing changes. Continued use of the Service after renewal constitutes acceptance of the new fees.

3.6 Taxes

Fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, or similar taxes, excluding taxes based on our net income.


4. Customer Content and Rights

You retain ownership of all content you upload, ingest, or submit ("Customer Content").

You grant BrightTools a worldwide, non-exclusive, royalty-free license to host, process, analyze, transform, and display Customer Content solely to provide and improve the Service.

You represent and warrant that:

  • You have all necessary rights to use, ingest, and distribute Customer Content and any Third-Party Content.
  • Your use of the Service does not infringe any intellectual property, privacy, publicity, or contractual rights.

You are solely responsible for verifying the accuracy and legality of all content distributed using the Service.


5. Generated Output and AI Disclaimer

The Service may generate summaries, prioritizations, rankings, or HTML output ("Generated Output").

Generated Output is provided "as is." It may contain inaccuracies, errors, or omissions. BrightTools makes no warranty regarding the accuracy, completeness, originality, or suitability of Generated Output.

You are responsible for reviewing and approving all Generated Output before distribution.


6. Acceptable Use

You agree not to use the Service to:

  • Ingest content without proper rights or authorization
  • Violate third-party platform terms
  • Distribute unlawful, infringing, or harmful materials
  • Reverse engineer or interfere with the Service

We reserve the right to remove content or suspend accounts that violate these Terms.


7. Third-Party Services

The Service may integrate with or access third-party services or APIs. Your use of those services is subject to their respective terms. BrightTools is not responsible for the availability, functionality, or policies of third-party providers.


8. Service Availability and No SLA

The Service is provided on an "as available" basis. We do not guarantee uninterrupted availability, uptime, or compatibility with third-party systems.

We may modify, suspend, or discontinue features at any time without liability.


9. Modification of Service

We reserve the right to modify, enhance, or discontinue any aspect of the Service at any time. Features labeled as beta or early access are provided "as is" and may be changed or removed without notice.


10. Suspension Rights

We may suspend or restrict access to the Service if:

  • You violate these Terms
  • Payment is overdue
  • We believe your use poses security, legal, or operational risk
  • Required by law

Suspension does not relieve you of payment obligations.


11. Data Retention and Deletion

Upon termination or cancellation:

  • You may request export of your Customer Content within 30 days.
  • After 30 days, we may delete Customer Content from active systems.
  • Backup copies may persist temporarily consistent with our retention policies.

We are not responsible for retaining content beyond this period.


12. Confidentiality

Each party agrees to protect the other's non-public information with reasonable care and not disclose it except as required to provide the Service or comply with law.


13. Feedback License

If you provide suggestions, feedback, or ideas regarding the Service, you grant BrightTools a perpetual, irrevocable, royalty-free right to use and incorporate such feedback without restriction or compensation.


14. Indemnification

You agree to indemnify and hold harmless BrightTools from any claims, damages, or expenses arising from:

  • Your Customer Content
  • Your misuse of the Service
  • Your violation of these Terms
  • Any infringement claims related to content you ingest or distribute

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHTTOOLS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • BRIGHTTOOLS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • BRIGHTTOOLS' TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

17. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including internet outages, third-party service failures, natural disasters, or government actions.


18. Assignment

You may not assign these Terms without our prior written consent. BrightTools may assign these Terms in connection with a merger, acquisition, or sale of assets.


19. Electronic Communications

By using the Service, you consent to receive communications electronically, including notices regarding billing, renewals, and legal updates.


20. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Oregon.


21. Survival

Sections relating to ownership, indemnification, limitation of liability, disclaimers, confidentiality, governing law, and any other provisions that by their nature should survive termination will survive.


22. Changes to Terms

We may update these Terms at any time. Updated Terms will be posted on our website and are effective upon posting. Continued use of the Service constitutes acceptance.
